Jordan Securities Commission Publishes Names of Companies Failing to Disclose on January 8.2014

The Board of Commissioners chaired by HE Mr Mohammed Saleh Hourani decided by virtue of the provisions of Articles (21/B) and (24) of the Securities Law for the year 2002 to publish names of companies failing to comply with the provisions of Article (4) Items (B and E) of the Instructions to Issuing Companies Disclosure, Accounting and Auditing Standards for the year 2004. The Instructions require companies to fully disclose Items stated in the provisions of this Article in the 2012 Annual Report.

The Commission stresses on the following companies to provide the insufficient Items to avoid imposing further measures stipulated in the Securities Law. These companies are:

Not stating the benefits and remunerations of the Financial Manager.
The Financial Manager did not sign a declaration affirming the correctness, accuracy and completeness of the information and data stated in the report
 3.  National Steel Industries  Not stating securities owned by members of the Board of Directors.
 4.  Al-janoub Filters Manufacturing  Not stating securities owned by members of the Board of Directors, Senior Management and ownerships of companies controlled by any of such.
 5.  Al-tajamouat for Catering and Housing  Not stating securities owned by members of the Board of Directors
 6.  Amwaj Properties  Not stating securities owned by members of the Board of Directors and ownerships of companies controlled by members of the Board of Directors and the Senior Management provided all of the above is benchmarked against the preceding year.
 
 7.  Jordan Dubai Islamic Bank  Not specifying benefits and remunerations of the Senior Executive Management.
 
 8.  Jordan Kuwait Bank  Not specifying benefits and remunerations of members of the Board of Directors and the Senior Executive Management.
 
 9.  Arab Life and Accident Insurance  Not stating securities owned by the Senior Management and companies controlled by them.
 
 10.  Jordan Ceramic Industries  Not stating a summary of all the Senior Management.
Not stating a description of any government protection or any concession granted to the Company or to any of its products pursuant to Laws, Regulations or otherwise, with a specification of the effective period thereof; as well as a description of any Patents or Licensing Rights obtained by the Company.
Not stating securities owned by the Senior Management.
Not stating benefits and remunerations of all the Senior Management.
Not signing a declaration affirming the correctness, accuracy and completeness of the information and data stated in the report, signed by the Chairman of the Board of Directors, the Company’s General Manager and the Financial Manager.
