Board's Decisions 14/5/2018

- Approving the registration in capital increase in shares of National Electric Power of  2,507,189 shares through capitalization of JD 2,507,189 million of retained earnings and distribute them as free shares to shareholders on pro rata basis, after paying the prescribed fees.

- Approving the registration of shares of capital increase of Sheba Metal Casting of 250,000 shares by offering these shares for subscription through non-public offering to the company's shareholders at a nominal value of JD1 per share and an issuance discount of  JD 0.500 per share, in condition that the number of  shareholders shall not exceed in anytime 30 persons as of the end of the fifteenth day following the date of the JSC's approval of registration of these shares. In case the number of shareholders exceeded 30 persons, the company  shall provide a  prospectus and pay the prescribed fees, taking into consideration the following: 

1. The issuance procedures must be fulfilled within a period not exceeding 30 working days from the date of the commission`s approval to register these shares. 

2. The subscription rights for the shares ownership shall be as of the end of the fifteenth day following the date of the JSC's approval of registration of these shares, and if this day was an official holiday, the right of the company's shareholders shall be as of the end of the previous working day.

3. The right to exercise the subscription for the subscription right holders shall be as of the end of the fifth working day of trading(if any). 

- Granting National Portfolio Securities plc. licenses to perform the activities of the financial broker for the account of others, the introducing broker, and the financial advisory in foreign stock exchanges, provided that the company shall submit to the JSC the following: 

1. Payment of the prescribed fees of JD1500.
2. A bank guarantee to the order of the Commission at  an amount of JD 510,000 as specified by the Board of Commissioners.
3. The requirements of the activities mentioned in Article (6) of The Instructions of Dealing of Financial Services Companies at Foreign Stock Exchange.
- Approving the registration of Mrs. Ayat Jaafar AlHunaiti to perform the activities of investment manager and financial advisor, after paying the prescribed fees.
